1. Agreement

These Terms govern access to and use of MoxQuote (the "Service"), operated by EaseHawk Technologies Private Limited (CIN: U62011DL2024PTC427769), Delhi, India. By creating an account or using the Service you agree to these Terms on behalf of yourself and, where applicable, the organisation you represent. If you do not agree, do not use the Service.

2. The Service

MoxQuote provides quoting, proposal, e-signature, approval-workflow and commercial-intelligence tooling, including AI-assisted features. The Service may interoperate with other Moxsuite products you connect. We may improve, add or remove features; where a change materially reduces core functionality of a paid plan, we will give reasonable notice.

3. Accounts and workspaces

  • You must provide accurate information and keep credentials confidential; you are responsible for activity under your account.
  • Workspace administrators control member roles, approval thresholds and discount limits. Actions taken within a role's permissions are attributed to the workspace.
  • You must be at least 18 and authorised to bind your organisation.

4. Customer content

You retain all rights to content you place in the Service — quotes, proposals, rate cards, client data ("Customer Content"). You grant EaseHawk a limited licence to host, process, transmit and display Customer Content solely to provide and secure the Service. You are responsible for having the necessary rights and lawful bases for Customer Content, including your clients' personal data.

5. AI features and outputs

  • AI features generate drafts and decision support: proposal drafts, scope and cost estimates, pricing suggestions, and accept-likelihood shown as HIGH / MEDIUM / LOW bands.
  • AI outputs may be inaccurate or incomplete. You must review all AI output before relying on it or sending it to a client. Nothing is auto-sent without human approval.
  • Pricing suggestions and prediction bands are statistical aids derived from your own workspace data. They are not guarantees of commercial outcomes and are not professional, legal, tax or financial advice.

6. E-signatures

The Service provides electronic acceptance and signature with an audit trail (signatory identity, timestamp, IP, and document version). Many jurisdictions, including India, the UAE and Saudi Arabia, recognise electronic signatures for most commercial documents, but requirements vary and certain document types are excluded. You are responsible for confirming that e-signature is valid for your document type and jurisdiction.

7. Acceptable use

  • No unlawful, infringing, deceptive or fraudulent use — including misrepresenting quotes, forging acceptance, or issuing documents on behalf of entities you are not authorised to represent.
  • No attempts to probe, breach or overload the Service, scrape other workspaces, or resell the Service without authorisation.
  • No use of AI features to generate content that violates law or third-party rights.

8. Fees and billing

Paid plans are billed in advance per the pricing page or your order form. Except where required by law, fees are non-refundable. Taxes (including UAE VAT, KSA VAT and Indian GST, as applicable) are added at the prevailing rate. We may change prices with at least 30 days notice, effective at your next renewal.

9. Beta and pre-release features

Features marked beta, preview or pilot are provided as-is, may change or be withdrawn, and are excluded from any service commitments.

10. Intellectual property

The Service, including software, design, and the MoxQuote and Moxsuite names and marks, belongs to EaseHawk and its licensors. No rights are granted except as expressly stated. Feedback may be used without obligation.

11. Confidentiality

Each party will protect the other's non-public information with at least reasonable care and use it only to perform under these Terms.

12. Warranties and disclaimers

The Service is provided "as is" and "as available". To the maximum extent permitted by law, EaseHawk disclaims all implied warranties, including merchantability, fitness for a particular purpose and non-infringement, and does not warrant that the Service will be uninterrupted or error-free, or that AI outputs will be accurate.

13. Limitation of liability

To the maximum extent permitted by law: (a) neither party is liable for indirect, incidental, special, consequential or punitive damages, or lost profits, revenue or data; and (b) EaseHawk's total liability under these Terms is capped at the fees you paid for the Service in the [12 months] before the event giving rise to liability. Nothing limits liability that cannot be limited by law.

14. Indemnity

You will indemnify EaseHawk against third-party claims arising from your Customer Content, your breach of these Terms, or your unlawful use of the Service.

15. Suspension and termination

You may cancel at any time, effective at the end of the billing period. We may suspend or terminate for material breach, non-payment, security risk, or lawful requirement, with notice where practicable. On termination you may export Customer Content for [30 days], after which it is scheduled for deletion per the Privacy Policy.

16. Governing law and disputes

These Terms are governed by the laws of India, and courts at New Delhi have exclusive jurisdiction, subject to any mandatory local rights you hold in your country.

17. General

These Terms plus any order form are the entire agreement. If a provision is unenforceable, the rest stands. We may update these Terms; material changes take effect 30 days after notice, and continued use constitutes acceptance. Contact: hello@moxsuite.com.
